partners, no upper limit

why businesses choose LLP

a strong fit for professional services, consultancies, and small partnerships that don't need external equity funding.

Limited Liability

partners' personal assets protected

Each partner is liable only up to their agreed contribution to the LLP — personal assets stay separate from the firm's debts and legal obligations.

Lower Compliance

fewer annual filings

No mandatory board meetings, no statutory audit unless turnover or contribution crosses a threshold, and fewer ROC filings than a Private Limited company each year.

Tax-Efficient Payouts

no double taxation on profit share

Profit is taxed once at the LLP level. Unlike a Private Limited company, there's no additional tax when that profit share reaches individual partners.

common questions

What is an LLP?

A Limited Liability Partnership (LLP) is a business structure registered under the LLP Act, 2008, that combines the limited liability of a company with the operational flexibility of a partnership. Partners are liable only up to their agreed contribution, and the LLP is a separate legal entity from its partners.

How many partners does an LLP need?

A minimum of 2 partners, with no upper limit. At least 2 partners must be Designated Partners responsible for compliance, and at least one Designated Partner must be a resident of India.

Is LLP better than Private Limited for tax?

An LLP's profit is taxed once at the LLP level (30% flat, plus surcharge and cess where applicable) with no further dividend distribution tax when profit share reaches partners — unlike a Private Limited company, where profit is taxed at the company level and dividends may attract tax again in the shareholder's hands. This makes LLP tax-efficient for profit-distributing service businesses, though it depends on your specific structure.

Can an LLP raise funding from investors?

LLPs can take on partners and borrow, but most VCs and angel investors prefer investing in a Private Limited company because of standardised equity structures and simpler cap table management. If external equity funding is part of your plan, Private Limited is usually the better fit.

How much does LLP registration cost with Shunya?

Shunya's professional fee starts at ₹1,999. Government fees and stamp duty are billed separately and depend on your contribution amount and the state you're incorporating in — we confirm the exact total on your first call.

How long does LLP registration take?

7–10 working days once your documents are complete and verified. If registration isn't complete within 15 working days of full document submission, Shunya waives its professional fee, for standard LLP registrations.
