Say Kabir and Nisha, two consultants in Hyderabad, want to start a strategy LLP with ₹3 lakh in total contribution. They pick two names, get their Digital Signature Certificates, file, and get a certificate. Why is Form 3 a separate step within 30 days?
Form 3 is a separate step because the LLP agreement is not part of FiLLiP; it is filed only after the LLP exists. The LLP Act requires it within 30 days of incorporation, and the agreement is a document the partners sign and stamp themselves.
Until the agreement is filed, the LLP's internal rules default to the Act's model provisions, which rarely suit a real business. That is why a tailored agreement matters: it sets profit sharing, capital, designated partner duties and what happens when a partner leaves. Filing Form 3 is what puts it on record.
Miss the 30-day window and additional fees apply; the longer the delay, the larger the fee. - Name rejection. Search existing companies, LLPs and trademarks, give a distinct name with a clear meaning, and keep alternates ready. Names implying a regulated profession need the relevant council's approval, which adds time.
- Name mismatch. If you reserved the name through RUN-LLP, FiLLiP must use exactly the same name.
- Utility bill and NOC. A bill older than 2 months or a missing owner NOC leads to a resubmission.
- DSC problems. An expired certificate or one not registered on the MCA V3 portal stops the signing.

A ROC query is not a failure. It is a request for a correction, usually with a window of days to respond, and resubmitting is routine when handled quickly.

What should you do the day after incorporation?
The day after incorporation, start the LLP agreement and Form 3, then plan the annual filings. The certificate gives you a legal entity; the compliance clock starts immediately.
