LLP Registration Cost and Fees in India: What You Will Actually Pay in Total
LLP registration costs a flat ₹1,999 professional fee at Shunya, plus government fees and state stamp duty billed at actual cost. As of September 2026, MCA charges ₹500 to ₹5,000 for FiLLiP depending on contribution up to ₹25 lakh, and ₹50 to ₹200 for Form 3. See the LLP registration page for the offer.
How much does LLP registration cost in total?
The total cost of LLP registration is the professional fee, the MCA government fees, and the state stamp duty on the LLP agreement. Only the first is fixed: Shunya's professional fee is a flat ₹1,999 for LLP registration. The other two depend on your contribution and your state.
Take Ananya, a UX freelancer in Pune, who is setting up an LLP with one partner and a total contribution of ₹2 lakh. Using the MCA slabs below, her known fees are ₹2,000 for FiLLiP and ₹100 for Form 3. Add the ₹1,999 professional fee and the total comes to ₹4,099 before state stamp duty on the LLP agreement, which varies by state and is confirmed by your CA before you pay. If she also reserves the name separately through RUN-LLP, that adds ₹200. This is an illustration, not a quote.
The point is that an LLP is cheap to form compared with what most quotes suggest, provided you know which line items are real. The table below shows every component, who charges it, and how firm the number is.
| Cost component | Who charges it | Amount (as of September 2026) | Notes |
|---|---|---|---|
| Professional fee | Shunya | ₹1,999 flat | CA-led, fully online; covers the LLP filings and agreement drafting |
| Name reservation (RUN-LLP) | MCA | ₹200 | Only if you reserve the name separately; you can also propose the name inside FiLLiP |
| FiLLiP incorporation | MCA | ₹500 to ₹5,000 for contribution up to ₹25 lakh | Slab depends on total contribution; higher slabs apply above ₹25 lakh |
| Form 3 (LLP agreement) | MCA | ₹50 to ₹200 for contribution up to ₹25 lakh | Filed within 30 days of incorporation |
| Stamp duty on LLP agreement | State government | Varies by state | Confirmed for your state before you pay |
| Digital Signature Certificate (DSC) | Third-party issuer | Separate item | Class 3 DSC for each signing partner; ask how it is billed |
What are the MCA government fees for LLP registration?
The Ministry of Corporate Affairs (MCA) charges fees for FiLLiP, RUN-LLP and Form 3, and the FiLLiP and Form 3 fees rise with the LLP's total contribution. The slabs below come from the LLP (Amendment) Rules 2022, in force since 1 April 2022, and we found no change to them as of September 2026.
FiLLiP is the Fillable Form for Incorporation of LLP, the single e-form that incorporates the LLP and also applies for DPIN (Designated Partner Identification Number) for partners who do not hold a DIN, plus PAN and TAN. Its fee depends on the contribution you state.
| Total contribution | FiLLiP fee | Form 3 fee |
|---|---|---|
| Up to ₹1 lakh | ₹500 | ₹50 |
| ₹1 lakh to ₹5 lakh | ₹2,000 | ₹100 |
| ₹5 lakh to ₹10 lakh | ₹4,000 | ₹150 |
| ₹10 lakh to ₹25 lakh | ₹5,000 | ₹200 |
| Above ₹25 lakh | Higher slabs apply; check the MCA fee calculator for your exact contribution | |
We deliberately do not print figures above ₹25 lakh, because published tables differ and MCA's own fee schedule is the only source to trust there. Where your contribution sits exactly on a slab boundary, your CA confirms which slab applies on the MCA portal before filing.
Does the contribution figure change your bill?
Yes, and it is the one number you control. There is no minimum contribution for an LLP, so a smaller stated contribution lands in a lower slab. Do not understate it just to save a few thousand rupees, though: it should reflect what the partners actually intend to put in. If the contribution later moves to a higher slab, the fee difference is paid when the change is filed through Form 3.
Is there stamp duty on the LLP agreement?
Yes, the LLP agreement attracts state stamp duty, and the amount depends on the state where the LLP is registered. The Registrar does not collect it; it is paid on stamp paper or e-stamp under your state's Stamp Act before the agreement is signed.
Ignore any site that claims there is no stamp duty at all on an LLP agreement. The ICAI's FAQ on the LLP Act notes that the value differs by state, which is why we do not quote a single national number. The rate and the basis on which it is charged are set by each state, so the same LLP can pay a different amount in Delhi than in Karnataka. Getting it right matters because an improperly stamped agreement can cause trouble later, for example when it is needed as evidence or for a bank.
To estimate your figure, use the stamp duty calculator, or read the state guides for Maharashtra and Karnataka for how state costs are laid out on this site. Shunya confirms the stamp duty for your state and contribution before you pay anything beyond the professional fee.

Start LLP registration →What does Shunya's ₹1,999 professional fee cover?
Shunya's ₹1,999 is a flat professional fee for LLP registration, and the government fees and state stamp duty are billed separately at actual cost. That means the fee does not move with your contribution or with the number of partners.
For that fee, a practising Chartered Accountant handles the LLP end to end, fully online with no office visit:
- Verifying partner documents and checking the proposed name for availability
- Obtaining the DSC and DIN or DPIN for the designated partners
- Preparing the LLP agreement and the FiLLiP filing, then Form 3 after incorporation
- Handling queries from the Registrar of Companies (ROC)
- Delivering the Certificate of Incorporation, PAN and TAN
Standard turnaround is 7 to 10 working days for a standard incorporation. If it takes longer than 15 working days from the date you submit complete documents, the professional fee is waived. We do not include GST registration, bank account opening, a registered-office address or trademark work in the fee; ask on the free callback if you need any of those. For the line-by-line inclusions, see the LLP registration package guide.
What costs come after your LLP is registered?
After registration, an LLP has recurring compliance costs: annual filings with MCA and an income tax return. These are separate from the registration cost and are worth budgeting from day one.
Every LLP files Form 11 (Annual Return) and Form 8 (Statement of Account and Solvency) each year, even if it had no activity. The MCA fee for these follows the same contribution slab logic as above, and late filing attracts an additional fee that grows the longer you delay, which can end up many times the filing fee itself. The LLP also files an income tax return (ITR-5), and is taxed at a flat 30% plus applicable surcharge and cess on its profit. Once turnover or contribution crosses the audit thresholds, a statutory audit is required too.
None of this should put you off an LLP, but it explains why cheap registration is only half the story. Read the annual compliance guide before you commit, so the year-two cost is not a surprise.
How do you compare LLP registration quotes?
The reliable way to compare LLP registration quotes is to strip each one down to the same components: professional fee, MCA fees, stamp duty, DSC, and what happens after incorporation. Two quotes are only comparable once they list the same items.
- Ask whether MCA fees are included. A low headline number that excludes government fees is not lower once they are added.
- Ask about stamp duty. Is it included, billed at actual cost, or left to you to arrange?
- Ask whether Form 3 is covered. The LLP agreement filing is a separate step within 30 days of incorporation; some quotes stop at the Certificate of Incorporation.
- Ask about the DSC. Who buys it, and is it billed separately?
- Check who does the work. A practising CA reviewing every filing matters more than a slightly lower fee.
- Look for a stated turnaround and a remedy if it slips, such as a fee waiver after a fixed number of working days.
If you are still deciding between structures, the Private Limited vs LLP vs OPC comparison shows where each one costs more over time. To price your own case, run the numbers in the LLP cost calculator, or ask a CA on the free callback for a confirmed total for your state and contribution.

Is there any hidden cost after LLP registration?
There are recurring costs rather than hidden ones: annual Form 11 and Form 8 filings, an income tax return, and an audit once thresholds are crossed. Late filing adds fees that grow with the delay. Budget for these from the start, and see the annual compliance guide.
