A HUF cannot be a partner, and a trust generally cannot either. What proof of registered office does an LLP need?
An LLP needs proof that it has a registered office in India: a recent utility bill for the premises and, if the premises are rented or lent, a no-objection certificate (NOC) from the owner. The utility bill should not be older than 2 months when you file.
- Owned by a partner: a utility bill (electricity, water, gas or landline) and a copy of the ownership document if asked.
- Rented: the utility bill, a rent or lease agreement, and a signed NOC from the landlord permitting the address to be used as the LLP's registered office.
- Provided free by a relative: the utility bill and an NOC from the owner in the same form.
A residential address is accepted, so you do not need a commercial office to start. The address on the bill must match the address you enter in the form character for character. An old bill and a missing owner NOC are two of the most common reasons an incorporation is sent back, so check the bill date before you upload it.

The name
The name is proposed inside FiLLiP or reserved separately through RUN-LLP (Reserve Unique Name, LLP). It must not be too similar to an existing company, LLP or registered trademark, and it must end with "LLP". Names containing words that imply a regulated profession, such as Chartered Accountant, Company Secretary or advocate, need approval from the relevant professional council. If you reserve the name through RUN-LLP, the FiLLiP must use exactly the same name.

Most FiLLiP rejections come from small mismatches rather than missing documents: a name spelled differently across PAN, Aadhaar and the form, an old utility bill, or an unregistered DSC. The Registrar sends the filing back for correction, and each round costs days.
