why solo founders choose OPC

the structure built for one person who wants a real company, not just a proprietorship.

Limited Liability

personal assets protected

Unlike a sole proprietorship, your liability is limited to your investment in the company — personal assets stay separate from business debts.

Full Control, No Partner

one founder, one decision-maker

You don't need to find a co-founder or give up equity to meet a minimum-shareholder requirement — you run the company alone from day one.

Room to Grow

converts to Private Limited later

Start lean as an OPC, then convert to a Private Limited company once you need to bring in co-founders, investors, or ESOP-eligible employees.

common questions

What is a One Person Company (OPC)?

An OPC is a company structure registered under the Companies Act, 2013, that lets a single individual own and run a company with limited liability. It's a separate legal entity from its founder, unlike a sole proprietorship, and needs only one member and one nominee.

Who can register an OPC?

Only a natural person who is an Indian citizen can form an OPC — NRIs included since April 2021. Companies, LLPs, HUFs and foreign nationals cannot. A single person can be a member in only one OPC at a time.

What is a nominee director in an OPC?

Every OPC must name a nominee at incorporation — a person who would become the member of the OPC if the original founder dies or becomes unable to contract. The nominee's consent is recorded in the SPICe+ filing at incorporation.

Does an OPC need to convert to a Private Limited company?

No. Since the Companies (Incorporation) Second Amendment Rules, 2021, conversion from OPC to Private Limited is entirely voluntary — the earlier mandatory thresholds (paid-up capital over ₹50 lakh or average turnover over ₹2 crore) were removed. You can convert whenever it suits your business, typically once you want to bring in co-founders, investors, or ESOP-eligible employees.

How much does OPC registration cost with Shunya?

Shunya's professional fee starts at ₹1,999. Government fees and stamp duty are billed separately and depend on your authorised capital and the state you're incorporating in — we confirm the exact total on your first call.

How long does OPC registration take?

7–10 working days once your documents are complete and verified. If registration isn't complete within 15 working days of full document submission, Shunya waives its professional fee, for standard OPC registrations.
