Private Limited
for funding-ready startups
Limited liability, easiest structure to raise investment or issue ESOPs in, and the one most investors and larger clients expect. Needs at least 2 directors and 2 shareholders.
Register a Private Limited company →LLP
for professionals & partnerships
Limited liability with lower compliance overhead than a Private Limited company, and no separate tax on partners' profit share. A strong fit for consultancies and services firms — less attractive to VC investors.
Register an LLP →OPC
for solo founders
One Person Company gives a single founder limited liability without needing a co-founder or partner. Converts to a Private Limited company once turnover or capital crosses the prescribed threshold.
Register an OPC →Public Limited
for large-scale fundraising
Can raise capital from the public via shares or debentures, with no cap on shareholders — needs at least 3 directors and 7 shareholders. Heavier ongoing compliance than Private Limited, and a fit for businesses planning to scale toward an eventual listing.
Register a Public Limited company →Indian Subsidiary
for foreign parent companies
A Private Limited company where your foreign parent holds 99%+ of shares, with a nominee shareholder for the balance. Same SPICe+ filing as any Private Limited company, plus FEMA/RBI compliance — FC-GPR reporting and an annual FLA return.
Register an Indian Subsidiary →Section 8 Company
for non-profits & NGOs
Limited liability with no dividend to members — every rupee of profit goes back into your charitable objects. Stronger donor and CSR credibility than a Trust or Society, and eligible to apply for 12A/80G tax exemption after incorporation.
Register a Section 8 company →Nidhi Company
for member savings & lending
A mutual-benefit structure for community savings and credit — members-only borrowing and lending, regulated under the Companies Act and Nidhi Rules. No RBI NBFC license needed.
Register a Nidhi company →Producer Company
for farmers & primary producers
For primary producers and farmer groups to collectively produce, procure, and market their produce — governed by Part IXA of the Companies Act, with governance built around member patronage.
Register a Producer company →Partnership Firm
for known partners, low overhead
Governed by the Indian Partnership Act, 1932. Registration with the Registrar of Firms is optional, but an unregistered firm can't sue a third party to enforce a contract. No liability shield — partners are personally liable for the firm's debts.
Register a Partnership Firm →Sole Proprietorship
fastest, cheapest way to start
Not a separate legal entity — you and the business are the same person. No MCA filing; typically means Udyam, GST, and Shop & Establishment registration instead. No liability shield, and not built for raising outside investment.
Register a Sole Proprietorship →two follow-on registrations most NGOs need next — neither is a company structure, both are filed separately after incorporation.
12A & 80G Registration
tax exemption + donor deduction
12A exempts your organisation's own income from tax. 80G lets your donors claim a deduction on their donation. Filed with the income tax department via Form 10A/10AB, separate from your entity's incorporation.
Register 12A & 80G →FCRA Registration
to legally receive foreign donations
Required before an NGO can receive foreign contributions. Normal registration needs 3 years' existence and ₹15L spent on core activities; newer NGOs with a committed foreign donor can apply for Prior Permission instead.
Register for FCRA →four steps — from your details to a Certificate of Incorporation in your inbox.

What is company registration in India?
Company registration (incorporation) is the legal process of forming a business entity recognised by the Ministry of Corporate Affairs (MCA) — typically a Private Limited Company, LLP, or One Person Company. It's done through the SPICe+ form on the MCA portal, which covers name reservation, Director Identification Number (DIN), the incorporation itself, and PAN/TAN issuance in a single filing.
Which structure should I choose — Private Limited, LLP, or OPC?
Private Limited suits founders planning to raise funding or issue ESOPs — it's the structure investors expect. LLP suits professional services and partnerships that want lower compliance overhead and no separate tax on partner profit share. OPC suits a solo founder who wants limited liability without bringing in a co-founder. If you're unsure, our CA will help you decide — this doesn't cost anything upfront.
What documents are required for company registration?
PAN and Aadhaar for every director/partner, a passport-size photograph, proof of registered office (electricity bill or rent agreement with NOC from the owner), and, for foreign nationals or NRI directors, a passport and address proof. Our CA sends the exact checklist for your chosen structure after you share your details.
How much does company registration cost?
Shunya's professional fee is ₹1,999 for a standard Private Limited registration. This is separate from government fees and state stamp duty, which vary by your authorised share capital and the state you're incorporating in — we confirm the exact total on your first call.
How long does company registration take?
7–10 working days for a standard incorporation once your documents are complete and verified. If we haven't incorporated your company within 15 working days of full document submission, we waive our professional fee — this applies to standard incorporations with authorised capital up to ₹10 lakh.
What is the SPICe+ form?
SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) is the MCA's integrated incorporation form. Part A reserves your company name; Part B handles incorporation, DIN allotment, and — through the linked AGILE-PRO-S form — PAN, TAN, and (where applicable) GST, EPFO, and ESIC registration in one filing.
Do I need a registered office address to incorporate?
Yes — every company needs a registered office address in India at the time of incorporation, backed by a utility bill and a no-objection letter from the property owner if it isn't owned by the company. This can be a residential address; it doesn't need to be commercial space.
What happens after my company is registered?
You receive the Certificate of Incorporation along with PAN and TAN. Next steps are opening a current bank account, depositing subscribed share capital within 180 days, and filing Form INC-20A (commencement of business) — plus registering for GST if applicable. We guide you through these as part of the registration process.
Can a foreign national or NRI be a director?
Yes, but every company must have at least one director who is a resident of India (someone who has stayed in India for 182+ days in the previous financial year). Foreign nationals and NRIs can be additional directors or shareholders, with some extra documentation like an apostilled passport copy.
What if my proposed company name gets rejected?
The MCA rejects names that are too similar to an existing company or trademark, or that use restricted words. We check name availability and trademark conflicts before filing SPICe+ Part A, and you get two free name resubmission attempts if the first choice isn't approved.
