Community Trust
a familiar, purpose-built format
Nidhi companies are a well-established, purpose-built format for community-based savings and credit — recognisable and trusted by the members who join them.
Members-Only Model
not open to the general public
Deposits and loans stay within the registered member base — a lower entry barrier than an NBFC, which needs an RBI license to deal with the public.
Regulated Framework
governed by the Nidhi Rules
Operating under the Companies Act and the Nidhi Rules gives your organisation a clear, well-understood compliance framework rather than an informal arrangement.

What is a Nidhi company?
A Nidhi Company is a type of non-banking financial company registered under the Companies Act, 2013 and regulated by the Nidhi Rules, formed to cultivate the habit of savings and lending among its own members only. It cannot accept deposits from or lend to the general public — only registered members.
How is a Nidhi company different from an NBFC?
A Nidhi Company deals only with its own members and does not need an RBI NBFC license, unlike a regular NBFC which can deal with the public and is directly regulated by the RBI. A Nidhi Company is instead governed by the Companies Act and the Nidhi Rules, with its own compliance framework including periodic returns to the Registrar of Companies.
How many directors and members does a Nidhi company need?
A minimum of 3 directors and 7 members is the commonly cited starting point to incorporate a Nidhi company. There are also post-incorporation requirements around growing your membership base and maintaining minimum Net Owned Funds within a period set by the Nidhi Rules — our CA will walk you through the exact current requirements for your case.
Can a Nidhi company accept deposits from the general public?
No. A Nidhi Company can only accept deposits from and lend to its own registered members — this member-only restriction is the defining feature of the structure and is enforced under the Nidhi Rules.
How much does Nidhi company registration cost?
Shunya's professional fee is ₹1,999. Government fees, the DSC issuer's charge and other third-party costs are billed separately. Share your details with us and a CA will walk you through the full cost on your first call.
What compliance does a Nidhi company have after incorporation?
Nidhi Companies must meet ongoing requirements under the Nidhi Rules, including periodic returns (such as NDH-1 and NDH-3) to the Registrar of Companies, membership and Net Owned Fund thresholds within prescribed timelines, and restrictions on the kind of lending and deposit activity permitted. Our CA can guide you through the compliance calendar after incorporation.
