Yes, an NRI who is an Indian citizen can form an OPC since the April 2021 amendment. Foreign nationals, companies, LLPs and HUFs cannot, and one person can be a member of only one OPC at a time.
Can I convert an OPC to a Private Limited company later?
Yes. Conversion has been voluntary since April 2021, with no turnover or capital threshold. You need at least two members and two directors, and the conversion is filed on Form INC-6.
