Form 3CA vs Form 3CB vs Form 3CD — complete guide
The difference between Form 3CA and 3CB is whether your accounts are already audited under another law. Use 3CA if they are (for example, a company under the Companies Act). Use 3CB if they are not (most proprietors and partnership firms). Form 3CD is filed with either one, never alone.
| Point | Form 3CA | Form 3CB |
|---|---|---|
| When it applies | Accounts already audited under another law | No other law requires an audit |
| Typical taxpayers | Companies, LLPs audited under the LLP Act, co-operative societies, banks | Proprietors, individuals, HUFs, partnership firms and LLPs with no other audit |
| What the CA does | Relies on the existing statutory audit and reports for tax purposes | Audits the books from scratch and gives a full opinion |
| Form 3CD | Filed with it | Filed with it |
| Who signs and uploads | A practising CA, with UDIN, on the income tax portal. You then accept it from your own login. | |
Not sure you need a tax audit at all? That depends on your turnover and how you're taxed. Check the Section 44AB turnover limits first.
Form 3CA — for accounts already audited elsewhere
If your entity is already required to have its accounts audited under a law other than the Income Tax Act — the most common example being a company audited under the Companies Act, 2013 — your tax auditor issues Form 3CA. It's a shorter form because it largely references and relies on that existing statutory audit rather than repeating it.
Form 3CB — for everyone else
If there's no other legal requirement to audit your accounts, your tax auditor issues Form 3CB instead. This covers the majority of proprietorships, individuals, HUFs, and partnership or LLP firms that aren't otherwise required to be audited. The CA independently examines your books and gives an audit opinion from scratch, which makes 3CB a more detailed form than 3CA.
Form 3CD — the substance behind both
Regardless of which opinion form applies, Form 3CD is filed alongside it and contains the actual particulars the audit is based on: accounting method and any changes to it, depreciation computed as per the Income Tax Act, statutory dues like GST, PF, and ESI (paid and outstanding), cash transactions above prescribed limits, TDS/TCS compliance, related-party payments under Section 40A(2)(b), and loans or deposits taken or repaid other than through banking channels. It runs to several dozen clauses depending on your business.
What changes from tax year 2026-27: Form 26
This is the last season for these three forms. Audits for AY 2026-27 cover FY 2025-26, which falls under the Income-tax Act, 1961, so they still use Form 3CA or 3CB with Form 3CD. From tax year 2026-27, the Income-tax Act, 2025 applies. The audit report under Section 63 then moves to a single Form 26, which replaces all three. The 3CA/3CB split still matters this year. It goes away for audits of tax year 2026-27 onwards.
Filing and signing
A practising Chartered Accountant signs and uploads Form 3CD (with 3CA or 3CB) electronically on the income tax e-filing portal, using their own CA login, and attaches a Unique Document Identification Number (UDIN) — an ICAI requirement introduced to prevent forged or unauthorised audit reports. The taxpayer then has to log into their own portal account and accept the filing before it's considered complete.
Can I switch from Form 3CB to Form 3CA in a later year, or vice versa?
The form isn't a choice — it depends entirely on whether your accounts are separately required to be audited under another law that year. A proprietorship converting into a private limited company, for instance, would move from Form 3CB to Form 3CA once the company audit requirement under the Companies Act kicks in. It's determined by your entity's legal status and other audit obligations, not by preference.
Will Forms 3CA, 3CB and 3CD still be used next year?
For AY 2026-27 (FY 2025-26), yes. Those accounts are governed by the Income-tax Act, 1961, so the audit is reported in Form 3CA or 3CB with Form 3CD. From tax year 2026-27 under the Income-tax Act, 2025, the audit report moves to a single Form 26 under Section 63, which replaces all three.
