Public Capital Access
raise funds beyond a private cap table
A Public Limited company can issue shares and debentures to the public, opening a route to raise capital that a Private Limited structure, capped at 200 shareholders, cannot offer.
No Shareholder Cap
unlike Private Limited's 200 limit
There's no maximum number of shareholders — useful for businesses expecting wide ownership, multiple funding rounds, or a large investor base over time.
Built Toward an IPO
eligible for listing later, via a separate process
Being a Public Limited company makes you eligible to pursue a stock exchange listing down the line — incorporation itself doesn't list you; an IPO is a distinct, later process with its own requirements.
the basic eligibility and document requirements for Public Limited registration.
Minimum 3 directors, minimum 7 shareholders, no maximum shareholder cap — a higher bar than Private Limited, which needs only 2 directors and 2 shareholders and is capped at 200. At least one director must be a resident of India.
PAN & Aadhaar for every director, plus a passport-size photograph and a Digital Signature Certificate (DSC) — we help you obtain the DSC if you don't already have one.
Registered office proof — an electricity bill or rent agreement, with a no-objection letter from the owner if the property isn't owned by a director.
A company name ending in "Limited" — not "Private Limited" — plus an MOA and AOA drafted for a Public Limited structure, since the object and share transferability clauses differ from a Private Limited company's.

What is a Public Limited company?
A Public Limited Company is a business structure registered under the Companies Act, 2013, that is permitted to raise capital from the public by issuing shares or debentures. It has a separate legal identity from its shareholders, limited liability, and a company name that ends in "Limited" rather than "Private Limited".
How many directors and shareholders does a Public Limited company need?
A minimum of 3 directors and 7 shareholders, with no maximum limit on shareholders — unlike a Private Limited company, which is capped at 2–15 directors and 200 shareholders. At least one director must be a resident of India.
How is a Public Limited company different from a Private Limited company?
A Public Limited company needs more directors and shareholders (3+ directors, 7+ shareholders, no shareholder cap, versus 2+2 with a 200 cap for Private Limited), can raise funds from the public through shares or debentures, and carries heavier ongoing compliance — more mandatory board meetings and a compulsory company secretary once paid-up capital crosses ₹10 crore under Section 203. Both are filed via SPICe+ on the MCA portal, but the name must end in "Limited" and the MOA/AOA content differs.
What compliance does a Public Limited company have to follow after incorporation?
Public Limited companies must hold more board meetings annually than a Private Limited company, follow stricter disclosure and governance norms, and appoint a whole-time Company Secretary once paid-up share capital crosses ₹10 crore, per Section 203 of the Companies Act, 2013. This is a genuine trade-off against the ability to raise capital publicly, and something to factor in before choosing this structure.
Can a Public Limited company convert to or from a Private Limited company?
Yes. A Private Limited company can convert to Public Limited as it scales and needs to raise capital more broadly, and a Public Limited company can convert back to Private Limited if it no longer needs that structure, subject to MCA approval and the relevant special resolutions. Our CA can guide you through either conversion.
How much does Public Limited company registration cost?
Shunya's professional fee is ₹1,999. Government fees and stamp duty depend on your authorised capital and structure, and the DSC issuer's charge and other third-party costs are billed separately. Share your structure with us and a CA will walk you through the full cost on your first call.
