How much does private limited company registration cost in total?
The total is the professional fee plus government charges, and only the government part changes from case to case. What are the fee components, line by line?
There are five possible line items: professional fee, MCA filing fee, name reservation fee, state stamp duty and digital signature certificates. The figures below are as of September 2026; anything marked as varying is confirmed by your CA for your state and capital before you pay.

Is there any MCA government fee for incorporating a private limited company?
No, not if your authorised capital is up to ₹15 lakh: the SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) filing fee is nil at that level. The limit was raised from ₹10 lakh to ₹15 lakh with effect from 18 March 2019, and MCA's own SPICe+ FAQ confirms that only stamp duty is charged in that case.
Most founders start with ₹1 lakh to ₹10 lakh of authorised capital, so for most first-time companies the MCA filing fee is zero. Authorised capital is the ceiling up to which the company may issue shares; it is not money you must deposit. There is no minimum paid-up capital requirement for a private company.

Stamp duty on the Memorandum and Articles of Association is set by each state, so it differs by state and by authorised capital. It is paid online through the MCA portal inside SPICe+ Part B (except in Sikkim, where MCA notes an exception), so you do not buy stamp paper or visit an office.

What about name reservation and DSC costs?
Name reservation (Part A)
The MCA fee for reserving up to two proposed names through Part A is ₹1,000. If you need more time, the reservation can be extended from 20 days to 40 days for ₹1,000, or up to 60 days for ₹3,000. When the name is proposed inside Part B instead of separately, vendors report no separate ₹1,000, so ask your CA which route your file uses. Digital Signature Certificate
Every director and subscriber signing SPICe+ needs a Class 3 DSC. Vendor price lists show roughly ₹1,000 to ₹2,500 per certificate depending on validity (1, 2 or 3 years) and whether a USB token is included. What is not included in the cost?
The ₹1,999 covers incorporation, not everything a new company eventually needs. Being clear about this up front is how you avoid a second bill you did not plan for.

Compare the all-in total for your state and capital, not the headline fee. A low headline can hide stamp duty, DSC, name fee or a separate charge for the MoA and AoA, so line up every quote against the same five components.
- Ask what the professional fee covers: name check, DSC, DIN, MoA/AoA drafting, filing, PAN and TAN, query handling.
- Ask whether government fees and stamp duty are passed through at actual cost or marked up.
- Ask whether the DSC and name fee are inside the quote.
- Ask what happens if MCA raises a query or the file is resubmitted: is that free or billed again?
