Private Limited Company Registered Office Requirements: Which Address You Can Use and What Proof You Need
A Private Limited company can use an owned, rented or family-owned premises in India as its registered office, including a residential address, if you have address proof. What address can you use as a Private Limited company's registered office?
You can use any premises in India where the company can receive official communication, whether it is owned, rented, commercial or residential, as long as you can prove the right to use it. The registered office is the address to which the Registrar of Companies and other authorities send notices, and it appears on your Certificate of Incorporation.
Say Karan is a freelance developer living in his father's flat in Lucknow. He is turning his practice into a Private Limited company with ₹5 lakh of authorised capital. He does not need a commercial office. He can use the flat as the registered office if his father, as owner, signs a No Objection Certificate (NOC) and Karan attaches a recent utility bill for that address.

What documents prove the registered office?
The registered-office proof is a utility bill not older than 2 months, plus an ownership or rental document and, where the premises are not yours, the owner's NOC. These documents are attached to the SPICe+ form (Simplified Proforma for Incorporating Company Electronically Plus) on the MCA V3 portal.
- Utility bill: electricity, water, gas or telephone bill for the address, not older than 2 months at the time of filing. It should show the address as it appears in the form.
- If you own the premises: a copy of the ownership document such as a sale deed or property tax record, and the utility bill in the owner's name.
- If the premises are rented: the rent or lease agreement and the landlord's NOC, plus a utility bill in the landlord's name.
- If the owner is a family member: a NOC from that person, and a document showing that person owns the property.

Which documents do you need for each type of address?
The documents you need depend on who owns the premises and whether it is commercial or residential. The table below summarises the standard set as of September 2026, and your CA will confirm it for your state before filing.

The name on the utility bill matters. If the bill is in a tenant's name or a private authority's name and there is no sale or lease deed behind it, the MCA may send the application back. When in doubt, use the owner's bill and add the NOC.
Can a residential address be the registered office?
Yes, a residential address can be your registered office, and many small Private Limited companies use the founder's home. The only conditions are that you can prove the right to use it and that the company can receive mail and notices there.
The owner NOC is the key document. It is a short signed declaration in which the owner says the company may use the premises as its registered office. It should name the company, give the full address, and be signed by the owner shown on the ownership document or utility bill. A NOC that misspells the company name or does not match the address is a common cause of rejection.
A residential registered office has practical effects. Your home address becomes public on the MCA record, and some landlords and housing societies restrict business use. Commercial and co-working premises with a valid owner NOC and utility bill are commonly used, but the rules do not spell out co-working acceptance today, so confirm it case by case with your CA. Do not assume a virtual address will be accepted just because a provider sells it.
In April 2026 the MCA released draft rules that propose explicitly recognising co-working spaces and accepting municipal khata or utility bills. That is a proposal and not law as of September 2026. Your CA will check the current position on the day of filing.
If you use a co-working space, ask the operator for three things before signing: a signed NOC naming your company, an agreement showing the address, and a utility bill or ownership document for the premises. What is the registered office verification after incorporation?
After incorporation, the company must verify its registered office, and the required step depends on whether the address in SPICe+ was already the registered office. If the address you gave in the incorporation form is the registered office, Form INC-22 is not needed. If it differs, INC-22 must be filed within 30 days of incorporation under Section 12(2) of the Companies Act, 2013.
The verification also comes up in a second filing. Within 180 days of incorporation, a director must file Form INC-20A, a declaration that the subscribers have paid for their shares and that the registered office is verified. On the MCA V3 portal, the INC-22 form asks for the latitude and longitude of the registered office. Keep the location handy. If the company shifts premises later, a change of registered office is a separate process, so pick an address you can keep for at least the first year.
What makes registered-office proof fail?
Registered-office proof most often fails because the documents do not match the address in the form, the bill is too old, or the owner NOC is missing or names the wrong company. The MCA's own guidance lists these as reasons to return an application.
- Utility bill older than 2 months at the date of filing.
- Proof not in the owner's name, with no sale or lease deed to link the tenant to the bill.
- NOC missing, unsigned or carrying the wrong company name.
- Address mismatch between the form and the documents, including spelling, pin code or floor number.
- Illegible or oversized scans, or vernacular bills without an English translation.
- Rent agreement that does not name the correct parties or premises.

Can I use my home as the registered office of a Private Limited company?

When is Form INC-22 required?
INC-22 is not required if the address given in SPICe+ is the registered office. If the registered office is at a different address, INC-22 must be filed within 30 days of incorporation. Separately, a director must file INC-20A within 180 days, declaring that shares are paid and the registered office is verified.
Can I change the registered office after incorporation?
Yes, a company can shift its registered office later, but it is a separate legal process with its own filings and, depending on the move, approvals. Choose an address you can keep for the first year, and ask your CA about the process and cost before you plan a move.
