Partnership Firm Registration

register a partnership firm your contracts can rely on.

Governed by the Indian Partnership Act, 1932. Registration with the state Registrar of Firms is optional — but an unregistered firm loses the right to sue and enforce contracts. CA-drafted Partnership Deed, PAN application, and filing handled end-to-end.

  • keeps your right to sue & enforce contracts intact
  • low compliance overhead vs. a company or LLP
  • stamped Partnership Deed drafted by a CA
  • good fit for trust-based, family & small businesses

why founders register anyway

registration is optional on paper — but Section 69 makes it matter in practice.

Enforce Your Contracts

Section 69 protection

Under Section 69 of the Indian Partnership Act, 1932, an unregistered firm — or its partners — cannot sue a third party to enforce a contract, and cannot claim a set-off in a dispute. Third parties can still sue you either way, so the disability only ever works against the firm.

Resolve Partner Disputes

sue each other, if needed

Partners in an unregistered firm cannot sue each other or the firm to enforce rights arising under the Partnership Act. Registration keeps that legal recourse open if a dispute between partners ever needs to go to court.

Low Overhead, Fast Start

for trust-based teams

No MCA/SPICe+ filing, no ROC annual return — just a stamped deed and a Registrar of Firms filing. Ideal for small, trust-based businesses among known or family partners who don't need to raise outside equity.

common questions

Is registering a partnership firm mandatory?

No. Registration of a partnership firm with the state Registrar of Firms is optional under the Indian Partnership Act, 1932 — a partnership deed alone can bring the firm into existence. But an unregistered firm loses important legal rights, which is why most CAs recommend registering from day one.

What actually happens if I don't register my partnership firm?

Under Section 69 of the Indian Partnership Act, 1932, an unregistered firm — or any of its partners — cannot file a suit in court to enforce a right arising from a contract against a third party, cannot claim a set-off in a dispute over such a contract, and partners cannot sue each other or the firm to enforce rights under the Partnership Act. Importantly, this disability runs only one way: a third party can still sue an unregistered firm or its partners. This is the main practical reason founders choose to register.

What is the minimum and maximum number of partners?

A partnership firm needs a minimum of 2 partners. The maximum is capped at 50 partners, per Rule 10 of the Companies (Miscellaneous) Rules, 2014.

Do partners have limited liability?

No. In a partnership firm, partners have unlimited personal liability — each partner is personally liable for the firm's debts and obligations, and personal assets are not shielded. This is a genuine tradeoff compared to a Private Limited company or an LLP, both of which offer a liability shield.

How is a partnership firm taxed?

The firm itself is taxed on its profits as a separate taxable entity. A partner's share of profit received from the firm is generally not taxed again in the partner's hands, under Section 10(2A) of the Income Tax Act, since the firm has already paid tax on that income. Talk to your CA about how this applies to your specific structure.

How much does partnership firm registration cost and how long does it take?

Shunya's professional fee is ₹1,999. State stamp duty on the Partnership Deed and the Registrar of Firms fee vary by state and are billed separately, along with any third-party costs, since registration is filed with the state Registrar of Firms rather than a single central portal. Share your state and partner details and a CA will walk you through the full cost. Timelines also vary by state — your CA will confirm a realistic timeline once your state and deed complexity are known.
