Producer Company Registration Process and Timeline: Steps from Member List to Certificate (2026)
Producer company registration runs in six steps: confirm members and objects, collect documents including the agriculture officer certificate, get DSC and DIN, reserve the name, file SPICe+, then receive the certificate. The Registrar has 30 days from receiving complete documents to decide; the whole process usually takes a few weeks. Shunya's professional fee is ₹1,999.
What are the steps to register a producer company?
Registering a producer company takes six steps, and the step that usually sets your pace is collecting the district agriculture officer certificate, not the filing itself. The steps below follow the SPICe+ route, which the MCA's FAQ confirms for producer companies.
Say Imran leads a group of 18 dairy and fodder farmers in a Gujarat district who want to collect and market milk products together. He assumes the government portal decides the timeline. In practice, his group's readiness decides it: the members' documents, the department's certificate and the choice of objects. Once those are ready, the filing itself moves quickly.
- Confirm members, directors and objects. At least ten producers, or two producer institutions, or a mix; five to fifteen directors; objects tied to members' primary produce. See the eligibility guide.
- Collect documents. ID and address proof, registered-office proof and the agriculture officer certificate. See the documents guide.
- Obtain DSC and DIN. A Digital Signature Certificate (DSC) lets directors sign electronically; a Director Identification Number (DIN) identifies them.
- Reserve the name. It must end with "Producer Company Limited".
- File SPICe+. SPICe+ stands for Simplified Proforma for Incorporating Company Electronically Plus. The producer company is filed as INC-32 with the e-MOA (INC-33), the e-AOA (INC-34) and INC-9.
- Receive the certificate. The Registrar issues the Certificate of Incorporation; PAN and TAN are applied for through the linked AGILE-PRO-S form.
How long does producer company registration take?
Producer company registration usually takes a few weeks, but the only official timeline is the Registrar's outer limit: the producer-company provisions require the Registrar to register within 30 days of receiving the documents. Anything more precise depends on how ready your group is.
You may see "15 to 25 working days" quoted online. That comes from a commercial source, not from the law or from Shunya, so treat it as an estimate rather than a promise. Shunya does not commit to a turnaround for producer company registration on this page.
| Stage | Who controls it | Time (as of September 2026) |
|---|---|---|
| Agriculture officer certificate | District agriculture office | Varies by office; can take time and is often the longest step |
| Collecting IDs, address proofs, office proof | Your group | Depends on how fast members respond |
| DSC and DIN for directors | Issuer and MCA, with your CA | Usually short once documents are in |
| Name check and MOA/AOA drafting | Your CA | Usually short; more time if the name is refused |
| Registrar's decision on SPICe+ | Registrar of Companies | Statutory outer limit: 30 days from receiving the documents |
What delays producer company registration?
Four things delay most producer company applications: the agriculture officer certificate, name objections, objects that do not fit the objects clause, and mismatched member details. Almost all of them are preventable before you file.
- The certificate. It must be on letterhead, signed and stamped. A missing, illegible or unstamped one is an official MCA rejection ground.
- The name. A name that does not end with "Producer Company Limited", or one too close to an existing name, is queried. Have alternates ready.
- The objects. Objects unrelated to members' primary produce are a listed rejection ground. Draft them around production, procurement, processing and marketing.
- Share provisions. Debentures or preference shares in the MOA or AOA are another listed ground; producer-company share capital is equity only.
- Mismatched details. Names or addresses that differ between documents cause officer queries.
If the Registrar raises a query, it is answered within the portal's response window, and the clock on your certificate moves with it. Handling such queries is part of what your CA does on your behalf.
How to keep the timeline short
Order your work so the slowest item starts first. Apply for the agriculture officer certificate on day one, gather member documents while you wait, and agree the name and objects with your CA in parallel. Keep two or three alternate names ready. Confirm the registered-office proof and the owner's no-objection letter before you file, because an address query after filing restarts part of the wait. A group that does these four things gives the Registrar a complete file and a clean first review.

Start producer company registration →What happens after you get the Certificate of Incorporation?
After incorporation, several deadlines start running, and the law sets them tightly for producer companies. As of September 2026, the producer-company chapter of the Companies Act, 2013 (Part IXA / Chapter XXIA) provides for the first directors to be followed by an election of directors within 90 days of registration, and the first annual general meeting within 90 days of incorporation.
The memorandum and articles are also laid before a special general meeting of members within 90 days. If the business is not started within a year of registration, the Registrar can strike the company off, so plan your first season's activity before you file.
The Corporate Laws (Amendment) Bill, 2026 proposes to change some of these timings, including the first-AGM and director-election rules. It is pending and not yet law, so follow the rules in force and let your CA confirm the current position. The ongoing calendar is in the annual compliance guide.
Can you do producer company registration yourself?
Yes, producer company registration can be filed yourself on the MCA portal, and some groups do. The trade-off is that a producer company has more ways to be rejected than a standard private company, because of the certificate, the objects clause and the equity-only rule.
A self-filed application needs a DSC for each director, a correctly drafted e-MOA and e-AOA with the mutual-assistance principles, and a certificate that meets the MCA's format. If your group already has a CA relationship and a well-prepared certificate, DIY is possible. If not, one objection can cost more time than the fee.
Not sure the structure is right at all? Compare it with a cooperative society or a private limited company in our comparison guide before you spend time on documents.
How does Shunya run the process with you?
Shunya runs the process in four steps: you share your producer-members, objects and proposed name; a CA verifies documents and prepares the filing; the SPICe+ is filed on the MCA portal; and the Certificate of Incorporation is delivered to you. A practising Chartered Accountant reviews every filing.
In practice: within the hour of your request, you get a document checklist. The CA checks name availability, helps obtain the DSC and DIN for directors, prepares SPICe+ under the producer-company provisions, files it with AGILE-PRO-S for PAN and TAN, and handles officer queries.
Shunya's professional fee is ₹1,999. The DSC issuer's charge, government fees, stamp duty and other third-party costs are billed separately, and your CA walks you through them on your callback. Start on the producer company registration page with a free callback, or pay online with "Start now". See the cost guide for the full fee split.

Confirm members and objects, collect documents including the agriculture officer certificate, obtain DSC and DIN, reserve a name ending with Producer Company Limited, file SPICe+ with the e-MOA, e-AOA and INC-9, and receive the Certificate of Incorporation. Which form is used to register a producer company?
Producer companies are incorporated through SPICe+ (INC-32) with the e-MOA (INC-33), e-AOA (INC-34) and INC-9. The MCA's SPICe+ FAQ has a dedicated producer companies section. Your CA confirms the current form set on the portal before filing.
What delays a producer company registration?
Most delays come from the district agriculture officer certificate, name objections, objects that do not follow the objects clause, and mismatched member details. The MCA lists a defective certificate, wrong objects and preference share or debenture provisions as official rejection grounds.
What must a producer company do after incorporation?
As of September 2026, the producer-company provisions call for an election of directors and the first annual general meeting within 90 days, and for the MOA and AOA to be laid before a special general meeting. A pending 2026 Bill proposes changes, so confirm the current rules with your CA.
Can I register a producer company without a CA?
Yes, you can file on the MCA portal yourself. But producer companies have extra rejection risks, such as the certificate format, the objects clause and the equity-only rule. A CA reviewing the filing reduces the chance of an objection that adds weeks.
